1 Overview

These Terms of Use ("Terms") govern the use of VCP Explorer, API, and SDK (collectively, the "Services") provided by VeritasChain Standards Organization (VSO), operated by VeritasChain Inc. (VeritasChain株式会社).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

2 Disclaimer

Important Notice: Please read this section carefully before using the Services.

2.1 Information Purpose Only

Data and information provided through VCP Explorer are for informational and reference purposes only. This information does not constitute:

  • Financial, investment, or trading advice
  • Recommendation to buy, sell, or hold any assets
  • Professional legal, tax, or regulatory advice
  • Guarantee of accuracy, completeness, or timeliness

2.2 "AS IS" Provision

The API and SDK are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Continuous or uninterrupted service availability

2.3 No Liability for Losses

VSO shall not be held liable for any damages or losses arising from:

  • Market losses — Trading losses or investment decisions based on data from the Services
  • System failures — Service interruptions, downtime, or technical issues
  • Data delays — Delayed, incomplete, or inaccurate data transmission
  • Security incidents — Unauthorized access or data breaches beyond VSO's reasonable control

3 User Obligations

Users of the Services agree not to engage in any of the following prohibited activities:

3.1 Unauthorized Access

Attempting to gain unauthorized access to the Services, other accounts, computer systems, or networks connected to the Services through hacking, password mining, or any other means.

3.2 Reverse Engineering

Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code, underlying ideas, algorithms, or structure of the Services.

3.3 System Interference

Taking any action that imposes an unreasonable or disproportionately large load on the infrastructure, including but not limited to:

  • Excessive API calls beyond rate limits
  • Denial of service attacks
  • Automated scraping without authorization
  • Any activity that disrupts or interferes with the Services

3.4 Impersonation

Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with any person or entity.

4 Intellectual Property

All intellectual property rights in the Services are owned by VSO or its licensors.

4.1 Protected Materials

The following materials are protected intellectual property of VSO:

  • VCP Specification — Technical specifications and documentation
  • SDK and Libraries — Software development kits and code libraries
  • VCP Explorer UI — User interface designs and implementations
  • Trademarks — VeritasChain, VCP, VC-Certified, and associated logos

4.2 Restrictions

Users may not:

  • Redistribute, sublicense, or resell any part of the Services without prior written consent
  • Remove or alter any proprietary notices or labels on the Services
  • Use VSO trademarks without explicit authorization

4.3 Open Source Components

Certain components of the SDK may be released under open source licenses (Apache 2.0 or MIT). Such components are governed by their respective license terms.

5 Limitation of Liability

5.1 Maximum Liability

To the maximum extent permitted by applicable law, VSO's total cumulative liability to you for any and all claims arising from or related to the Services shall not exceed the greater of:

  • The total amount you have paid to VSO for the Services in the 12 months preceding the claim, or
  • Zero (0) Japanese Yen if the Services were provided free of charge

5.2 Exclusion of Damages

In no event shall VSO be liable for any:

Indirect damages
Incidental damages
Consequential damages
Special damages
Punitive damages
Lost profits
Loss of data
Lost opportunities

This limitation applies regardless of the legal theory under which such liability is asserted and even if VSO has been advised of the possibility of such damages.

6 Governing Law and Jurisdiction

6.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

6.2 Jurisdiction

Any dispute arising from these Terms shall be submitted to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

6.3 Language

In the event of any discrepancy between the English version and any translated version of these Terms, the English version shall prevail.

7 Updates to Terms

7.1 Right to Modify

VSO reserves the right to modify, update, or revise these Terms at any time at its sole discretion.

7.2 Notification

Changes to these Terms will be communicated through:

  • Notice posted on the VCP Explorer website
  • Update to the "Last Updated" date at the top of these Terms
  • Email notification for material changes (if you have registered an email address)

7.3 Acceptance of Changes

Your continued use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Services.
